1. Agreement to Terms
By accessing or using the services provided by Boostle Inc. ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
Boostle provides web development and related digital services for businesses, including but not limited to:
- Website strategy, design, development, and content support
- Managed hosting, maintenance, security, and website support
- E-commerce, search optimisation, analytics, and third-party integrations
- AI agents, voice systems, workflow automation, and implementation services
- Custom Business Tools and Web Applications
3. User Obligations
When using our services, you agree to:
- Provide accurate and complete information about your business and requirements
- Use our services only for lawful purposes and in compliance with applicable laws
- Not interfere with or disrupt the integrity or performance of our services
- Maintain the confidentiality of any access credentials provided to you
- Not reverse engineer, decompile, or attempt to extract source code from our solutions
4. Intellectual Property
Boostle retains ownership of its reusable software, templates, component libraries, tools, methods, and pre-existing intellectual property. Ownership of customer-specific website design and content transfers after the applicable build balance has been paid in full, where stated in the relevant proposal or service agreement.
Third-party software and non-transferable licences remain subject to their providers' terms. Custom software, AI systems, and other solutions may be subject to separate ownership or licensing terms outlined in the applicable project agreement.
5. Payment Terms
Payment terms for our services are as follows:
- Project fees and payment schedules will be outlined in individual proposals or contracts
- Where a website build is paid by instalments, early cancellation may make the remaining build balance payable while future care charges cease
- Invoices are due within 14 days of issuance unless otherwise agreed
- Late payments may incur additional fees or service suspension
- All prices are exclusive of applicable taxes unless stated otherwise
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business data, technical specifications, and project details. Confidentiality obligations survive the termination of our agreement.
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional manner consistent with industry standards. However:
- Websites, SEO, advertising, AI, and automation services do not carry guarantees of specific traffic, rankings, enquiries, revenue, or other business outcomes
- We do not warrant uninterrupted or error-free operation of websites, hosting infrastructure, integrations, AI systems, or third-party services
- Performance depends on customer inputs, external platforms, data quality, market conditions, and other factors beyond our control
8. Limitation of Liability
To the maximum extent permitted by law, Boostle Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless Boostle Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
10. Termination
Either party may terminate the service relationship:
- With 30 days written notice for ongoing services
- Immediately upon material breach of these Terms
- As specified in individual project agreements
Upon termination, you remain responsible for payment of all services rendered up to the termination date.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
